Terms of Service
Effective March 2026. Please read these terms carefully before engaging Solace Media LLC for services.
Overview
These Terms of Service (“Terms”) govern the relationship between you (“Client”) and Solace Media LLC (“we,” “us,” or “our”), a website design and development company. By engaging our services, you agree to these Terms in full.

Services Description
Solace Media provides custom website design and development services. Each project is scoped individually based on a client intake process. We build bespoke websites from scratch — no templates, no pre-made themes. Deliverables, timelines, and pricing are outlined in a project proposal provided before work begins.
Client Responsibilities
To ensure a smooth project, you agree to:
- Provide all necessary content (text, images, branding assets) in a timely manner
- Respond to feedback requests and approve deliverables within a reasonable timeframe
- Provide access to domain registrars, hosting accounts, or third-party services as needed
- Ensure all content you provide is legally owned or properly licensed
Delays caused by late content delivery or unresponsive communication may extend the project timeline and are not the responsibility of Solace Media.
Payment Terms
Payment structure is outlined in your project proposal. In general:
- A non-refundable deposit is required before work begins (typically 50%)
- Remaining balance is due upon project completion, before final files and deployment credentials are transferred
- For larger projects, milestone-based payments may be arranged
- Accepted payment methods will be specified in your proposal
Invoices are due within 7 days of receipt unless otherwise agreed. Late payments may result in project work being paused until the balance is resolved.
Intellectual Property
Upon full payment, the Client owns all rights to the final website deliverables, including custom designs, code, and content created specifically for the project.
Solace Media retains the right to showcase the completed project in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.
Any third-party assets (stock images, fonts, plugins) are subject to their respective licenses. We will inform you of any third-party licensing requirements.
Revisions
Each commission includes unlimited revisions within the commission window specified in your proposal (48 hours for Quick Commission, 5 days for Full Commission). All feedback and iteration happens within this window.
Revisions requested after the commission window closes are billed at an hourly rate, communicated in advance. Scope changes or feature additions outside the original agreement are considered separate work and will be quoted accordingly.
Project Timeline & Delivery Guarantee
Quick Commissions are guaranteed to be delivered within 48 business hours of project kickoff. Full Commissions are guaranteed within 5 business days. If we exceed these timelines, a 33% discount is automatically applied to your commission total.
Business hours are defined as Monday through Friday, 9:00 AM to 6:00 PM Pacific Time, excluding federal holidays. The delivery clock begins when kickoff is confirmed (deposit received and intake form completed) and pauses during any period awaiting client feedback or content.
We will communicate proactively if timelines shift and work with you to stay on track.
Limitation of Liability
Solace Media's total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific project in question.
We are not liable for any indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption. We are not responsible for issues arising from third-party hosting, domain providers, or services outside our control.
Termination
Either party may terminate the engagement with written notice. In the event of termination:
- The Client is responsible for payment of all work completed up to the termination date
- The initial deposit is non-refundable
- Completed deliverables will be provided for work that has been paid for
- Unpaid work remains the property of Solace Media LLC until payment is received
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming. Any disputes arising under these Terms shall be resolved in the courts of the State of Wyoming.
These Terms were last updated in March 2026. We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the revised Terms.
